Terms of Service

Last updated: August 2, 2026. Allowance terms apply to acknowledged policy-v2 purchases from the effective date displayed at purchase; existing policy-v1 subscriptions retain their earlier terms.

1. Service Description

VeraDial is operated by VeraDial Inc. (“VeraDial”, “we”, “us”). VeraDial provides caller ID-controlled voice calling, SMS messaging, AI-powered calling, call screening, AI text answering, appointment booking, two-way call translation, call forwarding, voicemail, call transcription, per-contact AI memory, custom training, and integrations with services you connect, through purchased and verified phone numbers. The service is delivered through mobile applications available on the Apple App Store and Google Play Store, and through our web app at app.veradial.com.

Not every feature is available on every plan. Plan-specific availability is described in Section 14 and shown in the app at purchase.

2. Eligibility

You must be at least 18 years of age and a resident of the United States or Canada to use VeraDial. By creating an account, you represent that you meet these requirements.

3. Acceptable Use

VeraDial is for individual professionals and small businesses to make and receive calls and to have one-to-one conversations with people who contact them. It is not a bulk dialing, mass-texting, marketing, lead-generation, or auto-dialing platform.

3.1 Prohibited Conduct

You agree not to use VeraDial for:

  • Harassment, threats, stalking, or abusive communications
  • Fraud, phishing, scams, or impersonation of any person, business, law enforcement, or government official
  • Illegal telemarketing or robocalling, or contacting numbers on any internal or governmental Do Not Call list
  • Using caller ID to deceive, or spoofing or manipulating caller ID with intent to mislead
  • Sending unsolicited bulk, automated, or marketing SMS (spam)
  • Continuing to contact a recipient after they have asked you to stop or have opted out
  • Calling or messaging outside legally permitted hours (“quiet hours”) for the recipient's location
  • Traffic pumping, artificial inflation of call or message volume, sequential or mass dialing of many numbers, repeated short-duration calls, or fraudulent voicemail drops
  • Connecting VeraDial to an external auto-dialer, bot, or automated calling system. The in-app AI Call and AI Screening features are the only automation permitted, and only as offered within the app
  • Any use that violates applicable telecommunications or privacy law, including the Telephone Consumer Protection Act (TCPA), the FTC Telemarketing Sales Rule (TSR), Canadian Radio-television and Telecommunications Commission (CRTC) rules, and Canada's Anti-Spam Legislation (CASL)

3.2 Prohibited Message Content

To comply with mobile carrier and industry messaging rules (including CTIA guidelines and 10DLC registration requirements), you may not use VeraDial messaging to send, promote, or facilitate content involving:

  • Sexual, adult, or explicit content; hateful or harassing content
  • Alcohol, tobacco or vaping products, cannabis or CBD, or any controlled or illegal substance
  • Firearms, ammunition, fireworks, or explosives
  • Gambling, sweepstakes, or contests
  • High-risk or deceptive financial services, including payday or short-term high-interest loans, debt collection, debt consolidation, credit repair, cryptocurrency, and stock or investment promotion
  • Multi-level marketing, pyramid or referral schemes, “get rich quick” offers, or work-from-home and mystery-shopping schemes
  • Third-party lead generation, or any service that buys, sells, or shares consumer phone numbers or consent
  • Phishing, malware, or deceptive links

These restrictions apply even where the recipient has consented and even where the underlying activity is otherwise legal, because mobile carriers prohibit this content on the messaging channels VeraDial uses.

3.3 Fair Use

VeraDial subscriptions are intended for normal, individual professional use. SMS is provided on a fair-use basis, and Vera Plus includes unlimited AI-receptionist answering under fair use. Calling and Vera Lite answering have the billing-period allowances displayed at purchase. We may apply rate limits, require additional verification, or suspend usage that is inconsistent with normal individual use — including operating a call center, bulk or automated calling or texting, number reselling, or any activity that places an abnormal load on the network or risks the deliverability of other users. Where reasonably possible, we will give you notice and an opportunity to adjust your usage before taking action.

4. Phone Numbers

  • Purchased numbers are provisioned through Twilio and are subject to Twilio's acceptable use policy.
  • Numbers may be reclaimed if your account is terminated for policy violations.
  • We do not guarantee number portability.
  • Swap fee: $4.99 per number swap, charged via your in-app wallet balance.

5. SMS Messaging

  • Users must respect recipient opt-out (STOP) requests. VeraDial enforces this automatically.
  • Canadian local numbers support SMS. Toll-free SMS to recipients in either the United States or Canada requires approved Twilio toll-free verification.
  • We enforce TCPA-compliant opt-out handling automatically.
  • Message delivery is not guaranteed. Carrier filtering may apply to certain messages.
  • Message dictation (speech-to-text) is optional. If you use the in-app microphone button to compose a message, your voice clip is processed by a third-party speech recognition service (Deepgram) to produce the text, subject to per-clip duration and daily fair-use limits. The clip is not stored by VeraDial. You remain responsible for the content of messages you send, however they are composed.

Program: VeraDial SMS. Conversational business messaging between a VeraDial account holder and people who contact their dedicated business number — replies to inquiries, appointment coordination, and follow-ups about an existing conversation. No marketing or promotional messages are sent.

  • Message frequency varies; recipients receive messages only as part of their ongoing conversation with the business they contacted.
  • Message and data rates may apply.
  • Reply STOP to opt out at any time (enforced automatically). Reply HELP for help, or contact support@veradial.com.

Program: VeraDial Customer-Care SMS. One-to-one support messages from VeraDial Inc. on its toll-free support line, +1 (888) 311-9059. A customer may opt in during a support conversation by giving express verbal consent and then confirming the first text by replying YES. Messages address the customer's support request only; VeraDial does not send marketing or bulk messages through this program.

Program: VeraDial Local Support SMS. Consumer-initiated, one-to-one support messages from VeraDial Inc. on +1 (437) 525-2019. A customer opts in by sending a text to that number from the public VeraDial Local Support SMS page, or by texting START after a prior opt-out. Opening a text-message link does not itself provide consent; the customer must send the message. VeraDial replies only about the customer's request and does not send marketing, bulk messages, or messages from purchased lists.

5.1 Carrier Registration for US Business Texting

  • US business texting from a local VeraDial number may require approved A2P 10DLC business identity, Brand, Campaign, and exact sender-number registration before messages can be sent. Only an eligible US-local SMS-capable number may be associated as a 10DLC sender. A Canadian business may use supported Canadian identity information for its Brand, but a Canadian local number is not thereby eligible as a 10DLC sender. Toll-free numbers use a separate verification program.
  • You represent that all legal-business, registration, messaging-use-case, sample-message, website, Terms, Privacy, opt-in, and consent information you submit is accurate, complete, current, and belongs to the actual business whose recipients will perceive as the message sender. You must have authority to submit that information and to use every public evidence URL. You must update or stop using the registration if the information or messaging flow changes.
  • You may not reuse another customer's Brand, Campaign, consent evidence, or registration; misrepresent the sender; submit VeraDial as the Brand for an unrelated business; or associate an ineligible or unrelated phone number.
  • Carrier and registration-provider approval, timing, throughput, and continued acceptance are outside VeraDial's control and are not guaranteed. A pending, rejected, suspended, expired, or incompletely evidenced registration remains blocked. VeraDial may require correction, re-verification, a different eligible number, or provider support before enabling or restoring sending.
  • If registration requires a one-time or recurring carrier fee, VeraDial will display the amount, currency, purpose, and billing period before asking you to authorize the purchase through RevenueCat. An authorization applies only to the displayed registration action and revision. VeraDial does not initiate the provider action until the matching purchase is confirmed. Definite failures before provider consumption are reviewed for refund or reversal; unknown, provider-consumed, carrier-reviewed, appeal, retry, or replacement outcomes may require reconciliation and are not automatically refundable.
  • Campaign and registration fees are separate from your VeraDial subscription and message usage. Recurring carrier fees continue according to the terms displayed at authorization until canceled or the associated resource is retired. Taxes, store or web-checkout terms, and RevenueCat's payment processing rules may apply.
  • Some approved identity resources may be retained by Twilio or carriers even after you stop using VeraDial. VeraDial will detach senders and retire billable or routing resources where supported before completing account deletion, and will record provider-retained identity resources truthfully.

5.2 AI Text Answering (“Vera answers texts”)

VeraDial can draft or send replies to texts your business receives, using AI. This feature is off by default and is enabled per phone line.

  • You choose the mode for each line. In draft-approve mode, Vera prepares a reply and you review it before anything is sent. In auto mode, Vera sends the reply itself, without your prior review of that message.
  • To draft a reply, the content of the message thread on that line — including images sent to you by MMS — is processed by a third-party AI provider (Google Gemini). By enabling this feature, you consent to that processing. If you have enabled Contact Memory, the contact's summary may also be used as background for drafts you review.
  • You are responsible for every message sent from your line, including messages Vera sends in auto mode. Treat auto mode as authorizing VeraDial to send on your behalf. If you do not want messages sent without your review, use draft-approve mode.
  • Vera's first AI reply in a conversation identifies itself as an automated assistant and includes STOP opt-out instructions. Opt-out, quiet-hours, and all other requirements in Sections 3 and 5 apply to AI-sent messages exactly as they do to messages you type yourself.
  • AI-generated replies may be inaccurate, may misread intent, and may not reflect your actual prices, hours, availability, or policies. Vera is instructed not to invent details beyond the information you provide, but we do not warrant that it will not. Review the information you give Vera, and monitor conversations on lines set to auto mode.
  • You can pause Vera in any conversation, take over a thread manually, or turn the feature off at any time. Replying manually supersedes any pending draft.
  • Vera does not draft or send replies where doing so would breach a compliance guard — including recipient opt-out, an unregistered destination under Section 5.1, or a suspended account.

6. AI Calling

VeraDial's AI Call feature allows you to dispatch an AI agent to make phone calls on your behalf. By using this feature, you agree to the following:

  • AI calls are placed by an automated AI agent, not a human. The AI agent will identify itself as an automated system at the start of each call.
  • You are solely responsible for the content of any custom prompts or instructions you provide to the AI agent. Do not instruct the AI to engage in illegal, deceptive, or harmful behavior.
  • You must have a legitimate reason to contact the recipient. Using AI Call to harass, spam, stalk, threaten, or deceive any person is strictly prohibited.
  • AI calls may be recorded if you enable call recording. Full transcripts and AI-generated summaries are stored in your account and may be reviewed for abuse prevention.
  • Call audio is processed in real-time by third-party AI providers, including ElevenLabs, OpenAI, Google (Gemini), and xAI (Grok). The provider used for each call is selected by our server. By using AI Call, you consent to this processing.
  • Call audio may be routed through LiveKit's real-time infrastructure for SIP connectivity. By using AI Call, you consent to this routing.
  • AI calling is included up to the monthly minutes shown on your plan; usage beyond that draws on any remaining account balance, then pauses until your next billing period. Your remaining allowance is shown in the app.
  • The AI agent may produce inaccurate, inappropriate, or unexpected responses. VeraDial is not liable for the content of AI-generated speech.
  • You must comply with all applicable laws regarding automated and AI-generated calls, including the Telephone Consumer Protection Act (TCPA), FTC Telemarketing Sales Rule, and any applicable state or provincial regulations.
  • Misuse of AI Call may result in immediate account suspension or termination without refund.

6.5 Voice Cloning

VeraDial may allow eligible users to create a cloned version of their own voice for voicemail greetings and other VeraDial voice features.

  • You may only create a voice clone from your own voice. You may not clone another person, a public figure, a celebrity, or any voice you do not have the right to use.
  • You must provide the required consent acknowledgment before creating a cloned voice, including permission for your recorded voice sample, clone name, and consent record to be sent to Cartesia to create the voice clone.
  • You may not use voice cloning to impersonate another person, mislead callers, commit fraud, harass anyone, or violate any person's rights.
  • Voice cloning may be limited to subscribers, beta users, or manually approved accounts.
  • Deleting a cloned voice removes the voice from VeraDial and may delete greetings generated with that clone.
  • VeraDial may disable, delete, or refuse to create cloned voices that appear abusive, deceptive, unlawful, or inconsistent with these Terms.

6.6 Call Translation

VeraDial offers optional two-way real-time translation on outbound calls.

  • Translation is opt-in per call. When enabled, your call audio and the other party's audio are streamed in real-time to a third-party AI provider (OpenAI) to generate translated speech. By enabling translation, you consent to this processing.
  • An automated disclosure is played before the call connects, informing both parties that the call will be translated.
  • Live translation is included up to the monthly minutes shown on your plan and is limited to 15 minutes per call; usage beyond the included minutes draws on any remaining account balance, then pauses until your next billing period.
  • Machine translation may be inaccurate, incomplete, or misinterpret meaning. VeraDial is not liable for translation errors or any consequences of relying on a translation.
  • You remain responsible for complying with all applicable laws, including call-recording and consent requirements, when using translation.

7. Call Screening

VeraDial offers AI-powered call screening for inbound calls. When enabled, an AI agent (“Vera”) answers incoming calls on your behalf, asks the caller to identify themselves and state their purpose, and reports this information to you. Depending on how Vera is configured, it may also answer the caller's questions using the information you have provided about your business, book an appointment (Section 7.1), or connect the caller to you.

Screening is configured per phone line, so Vera can answer on one of your numbers while another rings through to you directly.

  • Call screening is optional and can be enabled or disabled in your account settings.
  • Screening interactions are processed by a third-party AI provider. Depending on VeraDial's configured screening provider, inbound call audio may be processed by ElevenLabs or routed through LiveKit to an AI provider such as xAI, Google Gemini, or OpenAI. By enabling call screening, you consent to this processing and routing.
  • Screening data (caller identity and stated intent) is stored in your account.
  • Call screening is limited to 50 screened calls per day, and each screening interaction is subject to a maximum duration. That maximum depends on how Vera is configured to answer: up to 3 minutes when Vera answers conversationally, and up to 30 seconds when Vera is limited to taking the caller's identity and purpose. The applicable limit may change as the service evolves.
  • The AI screening agent may produce inaccurate transcriptions or misinterpret caller intent. VeraDial is not liable for screening inaccuracies.

7.1 Appointment Booking (Google Calendar)

If you connect Google Calendar, Vera can offer and confirm appointments with callers during screening. Connecting is optional, is initiated by you, and requires Vera Plus.

  • What VeraDial can access. VeraDial creates a separate calendar named “VeraDial Bookings” in your Google account. To find open times, VeraDial requests only free/busy time ranges, and only from your main Google calendar and that Bookings calendar. VeraDial cannot read event titles, descriptions, attendees, or contents from any calendar it did not create, and it cannot modify your other calendars.
  • What this means for your availability. Events on your other Google calendars are not consulted and will not block a booking. You are responsible for keeping the calendars VeraDial checks accurate. Vera offers appointments based only on the free/busy information described above, together with the business hours and booking rules you configure.
  • Candidate appointment times are sent to the AI provider handling the call so they can be spoken to the caller. Your event contents are never accessible to VeraDial and are never sent.
  • When Vera confirms an appointment, we write the event to the Bookings calendar and store the appointment time, timezone, caller name, callback number, and stated reason in your account.
  • Appointments Vera books are your commitments. VeraDial does not warrant that a booked time is free, that a caller will attend, or that an appointment will be booked at all. Booking depends on Google's availability data and services outside our control. Confirm appointments before relying on them.
  • Booking requires business hours you have explicitly confirmed and a valid timezone. Where those are missing, Vera will not offer appointments rather than guess at your availability.
  • You can disconnect at any time from within VeraDial or from your Google Account security settings. Disconnecting revokes VeraDial's access and stops new bookings; it leaves the Bookings calendar and your existing appointment records in place. Deleting your account revokes access and removes VeraDial's calendar records.
  • Your use of Google Calendar remains subject to your agreement with Google.

7.2 Custom Training

You may give Vera additional information about your business — including uploaded files and website addresses — so that it answers callers and texters more accurately.

  • Custom training requires Vera Plus. Material you submit is processed by a third-party AI provider (Google Gemini) to produce the context Vera uses when answering. By submitting training material, you consent to that processing.
  • You represent that you have the right to submit each training source and that doing so does not infringe anyone's rights or breach a confidentiality obligation. Do not upload other people's personal information, confidential material you are not entitled to share, or content you do not own or have permission to use.
  • Vera's answers are generated from the material you provide and may still be inaccurate, incomplete, or outdated. Keep your training sources current; you remain responsible for what Vera tells your callers about your business.
  • We may remove or refuse training sources that appear abusive, unlawful, deceptive, or inconsistent with these Terms.

8. Contact Memory

VeraDial's Contact Memory feature generates a rolling AI summary for each phone number you interact with, drawing from your call transcripts, voicemail transcriptions, AI call transcripts and summaries, and SMS message content in your own account.

  • Contact Memory is off by default and can be enabled or disabled at any time in Profile > Contact Memory.
  • Before Contact Memory is enabled, the app asks you to confirm that call transcripts, voicemail transcriptions, AI call transcripts and summaries, and SMS message content from your account will be sent to Google Gemini to generate summaries. By enabling Contact Memory, you consent to this processing.
  • When Contact Memory is enabled, summaries are injected as prior context into AI calls you make to that contact, and a suggested next-call goal may be prefilled on the AI tab. Where you have given the additional consent the app requests for that purpose, a summary may also be used as background when Vera drafts a text reply for you to review (Section 5.2).
  • Summaries draw only from interactions stored in your own account. We do not share your summaries with the other party or with other VeraDial users.
  • AI-generated summaries may be inaccurate, incomplete, or misinterpret intent. Do not rely on them for decisions with legal, medical, financial, or safety consequences. Review the underlying transcripts before acting on the summary.
  • You remain responsible for complying with recording-consent and privacy laws that apply to the content being summarized.

9. Call Forwarding

VeraDial allows you to forward inbound calls to another phone number.

  • Call forwarding is optional and can be enabled or disabled in your account settings.
  • When enabled, inbound calls are forwarded immediately to your configured number.
  • If the forwarded call is not answered and voicemail is enabled, the call may fall through to voicemail.
  • If call screening is also enabled, forwarding takes precedence over app ringing and screening.
  • You are responsible for ensuring you have the right to use the forwarding number you configure.
  • Standard carrier charges may apply to forwarded calls on the receiving end.

10. Voicemail

When an inbound call to your VeraDial number is not answered by the app or your configured forward target, and voicemail is enabled, the call is directed to voicemail.

  • Voicemail recordings have a maximum duration of 120 seconds.
  • Recordings are automatically transcribed and stored in your account history.
  • You may set a custom voicemail greeting using AI-generated text-to-speech (up to 500 characters, converted to audio by ElevenLabs or Cartesia, depending on the selected voice), a verified cloned voice, or by recording your own greeting (maximum 30 seconds, 2 MB file size). Greetings are stored in your account.
  • Greeting creation is limited to 5 generations or uploads per hour, with a maximum of 10 saved greetings.
  • If no custom greeting is active, a default system greeting is used.

11. Call Recording & Transcription

  • You may opt to record outbound calls and AI calls. Recorded calls are stored in your account history.
  • Recorded calls are automatically transcribed by a third-party speech recognition service (Deepgram). By using call recording, you consent to call audio being processed by this provider.
  • Transcripts include speaker identification and timestamps and are stored alongside call records in your account.
  • You are responsible for complying with all applicable call recording laws, including one-party and two-party consent requirements in your jurisdiction.

12. Call Map & Location Data

  • VeraDial may collect your device's GPS location when you make or receive calls. This data is used to display your calls on an interactive map within the app.
  • Location collection requires your device's location permission and is optional. You can revoke location access at any time through your device's system settings.
  • Location data is stored alongside call records in your account and is not shared with third parties.

13. Push Notifications

  • VeraDial sends push notifications to your device for events including incoming messages, new voicemails, missed calls, AI call completions, and usage alerts.
  • For your privacy, notifications do not display message content, AI summaries, or other sensitive details on your lock screen.
  • You can manage notification permissions through your device's system settings at any time.

13.1 Integrations & Connected Services

VeraDial lets you connect your account to services outside VeraDial. Every such connection is initiated by you and can be revoked by you.

Event webhooks and automation platforms. You may configure VeraDial to send an HTTP request to an endpoint you specify — directly, or through an automation platform such as Zapier, Make, or n8n — when events occur on your account, such as a screened call or a booked appointment.

  • Requires Vera Plus. These requests carry your account's data, including caller-provided information, to the destination you configure.
  • Data sent to an endpoint you configure leaves VeraDial's control at your direction. You are responsible for choosing the destination, for securing it, for the handling of data once delivered, and for having the right to send that data there. Where a destination supports it, we sign each delivery so you can verify it came from VeraDial; you are responsible for verifying that signature.
  • Delivery is attempted on a best-effort basis with retries. We do not guarantee that any event will be delivered, delivered once, or delivered in order. Do not rely on webhooks as the sole record of anything that matters.
  • We may suspend deliveries to an endpoint that is failing, unreachable, or being used in a way inconsistent with these Terms.

Connected AI assistants. You may authorize a third-party AI client — for example ChatGPT or Claude — to read your VeraDial account through our connector.

  • Access is read-only, is limited to your own account, and requires you to sign in and approve the connection.
  • The third-party AI client is not operated by VeraDial. Your use of it is governed by your agreement with its provider, and information VeraDial makes available to it is handled under that provider's terms and privacy policy, not ours. We are not responsible for what that client does with account information you authorize it to read.
  • You can revoke access at any time. We may suspend connector access for a client or an account for security reasons or for a breach of these Terms.

14. Subscription & Billing

  • VeraDial requires a monthly subscription — Vera Lite ($14.99/month per line) or Vera Plus ($29.99/month per line) — to access phone number features. Both plans include a 7-day free trial for new users.
  • Policy-v2 Vera Lite includes 50 Vera-answering minutes and 150 calling minutes per billing period. Policy-v2 Vera Plus includes unlimited Vera answering under fair use and 300 calling minutes per billing period. Calling minutes cover owner-connected incoming calls, outgoing calls, and calls forwarded to another phone; allowances are shared across active lines and support standard-rate US and Canadian destinations. SMS is subject to our Fair Use Policy, which is incorporated into these Terms. Vera Plus separately includes the AI-calling and live-translation allowances shown on your plan.
  • Existing policy-v1 subscriptions retain the usage terms they purchased unless the customer completes an acknowledged plan change or resubscription under the newer terms.
  • Feature availability differs by plan. Inbound call screening, AI text answering, and read-only access for connected AI assistants are included in both plans. Appointment booking (Section 7.1), custom training (Section 7.2), event webhooks (Section 13.1), AI calling (Section 6), and call translation (Section 6.6) require Vera Plus. Accounts in a free trial may use the Vera Plus features. We may change which features are included in a plan with reasonable notice.
  • Additional phone lines (up to 4 extra) are available as a tiered add-on subscription. If your add-on subscription lapses, over-allowance numbers receive a 7-day grace period before being suspended.
  • Accounts subscribed before July 2, 2026 may hold a remaining credit balance from the previous credit-based plan. Those balances do not expire and continue to apply to usage until spent; credits are no longer sold or granted.
  • If your subscription lapses, your phone number is reserved for 18 days before being released.
  • All purchases are processed through the Apple App Store, the Google Play Store, or our secure web checkout.
  • Carrier-registration purchases, if offered, are processed through RevenueCat and are governed by the fee disclosures and authorization terms in Section 5.1.
  • Refund requests must be directed to Apple or Google per their respective refund policies.
  • We reserve the right to change pricing with reasonable notice.

15. Emergency Services Disclaimer

VeraDial does NOT support 911 or any emergency services. You must maintain a separate means of contacting emergency services at all times.

We are not liable for any failure to connect to emergency services through VeraDial.

16. Account Suspension & Termination

  • We may suspend or terminate accounts for policy violations without prior notice.
  • Upon termination, purchased numbers are released and any remaining account balances are forfeited.
  • You may delete your account in-app via Settings (two-step confirmation; Apple Sign-In tokens are revoked as part of the process) or by contacting support@veradial.com.

17. Limitation of Liability

VeraDial is provided “as-is” without warranty of any kind, express or implied. We do not warrant uninterrupted service, call quality, or message delivery. We are not liable for any damages arising from carrier issues, service interruptions, third-party actions, or your use of the service. Our total liability is limited to the amount you have paid for the service in the twelve (12) months preceding the claim.

18. Governing Law

These terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.
